Scope and acceptance
This licence applies to software made available by Chameron Digital, the digital products and software brand of Chameron Industries Pvt. Ltd. (“we”), including BILL OS, DINE OS, GYM OS, EDU OS and GROCERY OS, together with their updates and documentation (“the software”). It applies when you install, activate or use the software, and you accept it for the business you represent.
The order, invoice or agreement for your purchase (“your order”) sets out the product, plan and period. If your order or a signed agreement conflicts with this licence, the order or agreement applies to the matters it covers.
Licence
Subject to this licence and payment for your subscription, we grant your business a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the software for its own internal business operations, during the period you have paid for, and within the plan stated in your order.
The licence covers only what your plan and the software actually provide. It does not give rights to features, devices, locations or services that the software or your order does not include.
Permitted use
- Install and run the software on computers your business controls, as the product and your plan allow.
- Let your staff use it for your business, each under their own login where the product provides logins.
- Make backup copies of your data, and keep the software installer for reinstallation within your licence.
Prohibited use
You must not, except where applicable law expressly allows it despite this restriction:
- copy, sell, rent, lend, sublicense or distribute the software, or make it available to anyone outside your business;
- modify, translate, decompile, disassemble or reverse engineer it;
- remove or alter notices, or circumvent licensing, activation, access controls or security features;
- use it to build a competing product;
- use it unlawfully or in breach of the Acceptable Use Policy.
Intellectual property
The software is licensed, not sold. We and our licensors keep all rights in it that this licence does not expressly grant. See the Intellectual Property Notice.
Your data and your responsibilities
Business data you enter into the software belongs to your business; we claim no ownership of it. Your business is responsible for:
- having the right to record the data you keep about customers, staff, students or others, and handling it lawfully;
- the security of the computers, networks and accounts the software runs on;
- making and testing backups, as explained in the Data Loss and Backup Disclaimer;
- checking the accuracy of records, invoices and reports, including tax figures, before relying on them or filing them.
How we handle personal data is explained in the Privacy Policy.
Third-party components
The software may include or rely on third-party components, including open-source software and system components such as those supplied by Microsoft for Windows. Those components are subject to their own licence terms, which apply in addition to this licence. Features that connect to third-party services are covered by the Third-Party Integration Terms.
Updates and releases
We may provide updates that fix problems, improve security or change features. Some updates may be needed to keep using the software safely or to receive support. Release information is published in the release notes, and how releases are distributed is set out in the Download and Release Policy.
Compatibility
The software is designed for the system requirements published for each product. Compatibility with particular computers, printers, scanners or other devices is not guaranteed unless it is listed as tested; see the Hardware Compatibility Disclaimer.
Term, cancellation and refunds
The licence lasts for each period you pay for and renews with your subscription, as described in the Subscription and Auto-Renewal Terms. If you cancel, the licence continues to the end of the paid period; see the Cancellation Policy. If a purchase is refunded under the Refund Policy, the licence for that period ends.
Suspension and termination
We may suspend or end the licence, to the extent permitted by applicable law, if you seriously breach it and do not put the breach right within a reasonable time after we tell you, or straight away for unlawful use or circumvention of licence controls. When the licence ends, you must stop using the software. Your data stays in your environment; use the product’s export or backup tools to keep a copy.
Disclaimer
We describe the software’s features accurately and fix confirmed defects through updates where we reasonably can. Apart from that, and to the extent permitted by applicable law, the software is provided “as is”, without other warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation.
Limitation of liability
To the extent permitted by applicable law:
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data;
- our total liability arising from the software is limited to the amount your business paid us for the affected software in the twelve months before the event giving rise to the claim.
Nothing in this licence excludes or limits liability that cannot be excluded or limited by law, or affects rights you have as a consumer that cannot be waived.
Governing law
This licence is governed by the laws of India. Subject to any mandatory right to bring a claim elsewhere, the competent courts at Jammu, Jammu and Kashmir, India, have jurisdiction, to the extent legally applicable.
